Incapsulate Terms and Conditions

1. Introduction

Welcome to Incapsulate ("Incapsulate", "we", "our", or "us").

Incapsulate is an online educational platform providing CAPS-aligned science learning resources, interactive simulations, visualisations, calculators, assessments, assignments, classroom management tools, progress tracking, and related educational functionality for learners and educators in South Africa.

Incapsulate is an educational software platform operated by Cape Town Wall Print (Pty) Ltd, a company incorporated in accordance with the laws of South Africa.

By creating an account, accessing the platform, purchasing a subscription, or using any Incapsulate services, you agree to be bound by these Terms and Conditions.

If you do not agree to these Terms, you may not use the platform.

2. Definitions

For purposes of these Terms:

• "Platform" means the Incapsulate website, software, simulations, Grade 10–12 educational content, applications, and related services.
• "Teacher" means a user account designated by Incapsulate as having access to teacher functionality and classroom management features.
• "Student" means a learner using the platform.
• "Teacher Seat" means student access provided through a teacher subscription.
• "Student Subscription" means an individual student-paid subscription.
• "Subscription Period" means the applicable monthly or yearly billing period, or the agreed licence period for approved invoice and EFT arrangements.
• "Teacher Free Trial" means an eligible introductory trial period offered in connection with a Teacher Subscription before the first paid subscription charge.
• "Free Student Access" means access to selected student learning content made available without a paid Student Subscription.

3. Eligibility and Accounts

Users must provide accurate, complete, and current information when creating an account.

Users are responsible for maintaining the confidentiality of login credentials.

Users may not share accounts, passwords, or access rights with any other person.

Each account can be logged in on a maximum of two devices at the same time.

Users are responsible for all activity occurring under their account.

Incapsulate may suspend, restrict, or terminate accounts that contain inaccurate information, violate these Terms, or are used fraudulently or unlawfully.

4. Teacher Accounts

Certain teacher functionality may require approval by Incapsulate before activation.

Access to teacher functionality does not constitute any representation, certification, endorsement, accreditation, verification of qualifications, employment relationship, or confirmation of teaching competence by Incapsulate.

The user creating and managing a classroom is solely responsible for ensuring that they possess any permissions, authority, consents, or approvals required to invite or enrol students onto the platform.

Teachers are responsible for:

• Managing their classrooms.
• Protecting class codes and account credentials.
• Managing student access granted through their classrooms.
• Ensuring lawful use of the platform within their educational environment.
• Managing assignments, assessments, uploaded educational resources and any feedback shared with students.

Incapsulate does not supervise, monitor, validate, endorse, or assume responsibility for any educational activities, teaching practices, or classroom administration performed by teachers using the platform.

5. Student Accounts

Students may create individual accounts.

Where a student is under the age of 18, the student and/or the person creating the account represents that the student's parent or legal guardian has reviewed and consented to the student's use of the platform.

The parent, guardian, student, or account creator remains responsible for ensuring that any required parental consent has been obtained.

Incapsulate reserves the right to request additional consent verification where reasonably necessary.

6. Student Access Types

Students may access Incapsulate through:

1. Free Student Access
2. Teacher-provided access (Teacher Seat)
3. Individual Student Subscription access

Free Student Access allows students to access selected learning content without payment details or a paid subscription. The content included in Free Student Access may differ from the content available through a Teacher Seat or paid Student Subscription.

Teacher Seat access remains subject to the teacher maintaining an active subscription.

Individual Student Subscriptions are paid directly by the student, parent, or guardian.

A student may move between different access types.

Where a student with an active Student Subscription joins a classroom that provides Teacher Seat access, Incapsulate may pause the student's individual subscription and associated recurring billing.

If Teacher Seat access is later removed, suspended, cancelled, expires, or otherwise becomes unavailable, Incapsulate may automatically reactivate the student's paused individual subscription and associated recurring billing to preserve uninterrupted access.

Students will be notified by email when such reactivation occurs.

Students remain responsible for ensuring that they maintain an eligible access method in order to continue using subscription features.

7. Platform Functionality

Depending on subscription type, account permissions, and platform availability, Incapsulate may provide access to:

• Interactive science simulations
• Educational calculators and visual learning tools
• Topic explanations and educational resources
• Assignments and assessments
• Assignment submissions
• Teacher marking and feedback tools
• Progress tracking and performance reporting
• Classroom management functionality
• Teacher and student dashboards
• Question, assignment and assessment attachments
• CAPS-aligned educational content
• Additional educational tools and resources

Incapsulate may add, modify, improve, replace, suspend, or remove functionality at any time.

8. Subscription Plans and Pricing

Teacher Subscription

• R90 per student seat per month.
• Minimum purchase of 10 student seats.
• PayFast teacher subscriptions are billed monthly. Approved schools or organisations may instead use invoice and EFT billing arrangements where offered by Incapsulate.
• Payment may be made through PayFast card billing or approved school invoice and EFT arrangements.
• Teacher functionality becomes available once the teacher account has been approved and an active subscription has been established.

Student Subscriptions

• Monthly Subscription – R150 per month.
• Yearly Subscription – R1,500 per year.

Student Subscriptions do not include a time-limited free trial. Students may instead use Free Student Access to explore selected learning content before purchasing a subscription.

The applicable Student Subscription fee is charged when the paid subscription is activated. Paid access begins immediately after successful payment.

The yearly subscription provides the equivalent of two months free compared to paying monthly.

Current pricing is published on the Incapsulate Pricing page and may be updated. Accounts will only be affected on the next payment date.

Reasonable notice will be provided before material pricing changes take effect.

9. Teacher Free Trial

Eligible Teacher PayFast subscriptions may receive a 3-day free trial period.

No subscription fee is charged during the Teacher Free Trial period.

The first paid Teacher Subscription charge will occur automatically after the trial period unless the subscription is cancelled beforehand.

A Teacher Subscription may be cancelled during the Teacher Free Trial period without a subscription charge.

Incapsulate may modify, restrict, withdraw, or discontinue Teacher Free Trial offers for future subscriptions.

Any change to the availability of future Teacher Free Trial offers does not affect statutory rights that apply to an existing transaction.

10. Billing and Payments

Subscription payments are processed through authorised third-party payment providers or approved invoice and EFT arrangements.

Incapsulate does not store customer banking credentials or payment card information.

By subscribing through PayFast, users authorise recurring monthly or yearly charges, depending on the selected subscription, until cancellation.

Where a Student Subscription is purchased, the account holder agrees that the paid subscription and premium access will begin immediately after successful payment.

Schools or organisations approved for invoice and EFT billing are responsible for ensuring invoices are settled by the agreed due date.

Users remain responsible for ensuring valid payment information or billing details are maintained.

Payment processing services remain subject to the terms and conditions of the applicable payment provider.

11. Failed Payments and Grace Periods

If a recurring payment fails, Incapsulate may provide a grace period of up to 3 days.

Access may remain active during the grace period.

Incapsulate may send payment failure notifications and recovery reminders.

If payment remains unresolved after the grace period:

• Student access may be suspended or removed.
• Teacher subscriptions may be suspended.
• Teacher classrooms may be disabled.
• Teacher Seat access provided to students may be removed.

Incapsulate reserves the right to determine appropriate access restrictions following failed payments.

12. Cancellation

Subscriptions may be cancelled at any time through the platform billing portal.

Cancellation prevents future recurring charges.

Cancellation does not automatically entitle a user to a refund.

Access may continue until the end of the current paid billing period where applicable.

Cancellation of a subscription does not automatically delete a user's account or educational records.

Teacher Seat access may end when a teacher subscription is cancelled, suspended, or terminated.

13. Refunds

Refunds are governed by the Incapsulate Refund and Cancellation Policy, which forms part of these Terms and Conditions.

By creating an account, purchasing a subscription, or using the platform, users agree to the Refund and Cancellation Policy.

A refund request may be submitted in accordance with the applicable refund policy published by Incapsulate.

14. Intellectual Property

All platform content remains the intellectual property of Incapsulate unless otherwise stated.

Users receive a limited, revocable, non-transferable licence to access and use the platform for its intended educational purposes.

This includes but is not limited to:

• Software
• Source code
• Simulations
• Animations
• Graphics
• Videos
• Assessments
• Assignments
• Teacher-created assignments
• Assessment layouts
• Platform branding
• Educational content
• Questions
• Worksheets
• Calculators
• Documentation

Users may not:

• Copy or redistribute platform content.
• Resell platform content.
• Reverse engineer software.
• Create derivative commercial works.
• Use platform content, educational material or uploaded resources to train artificial intelligence systems without written permission from Incapsulate.
• Use automated scraping or extraction tools.
• Circumvent technical protections or access controls.

15. Acceptable Use

Users agree not to:

• Share accounts or passwords.
• Attempt unauthorized access.
• Upload malicious software.
• Interfere with platform operations.
• Harass other users.
• Misrepresent identity.
• Engage in unlawful or fraudulent activity.
• Upload unlawful, offensive or inappropriate content.
• Attempt to bypass subscription or classroom access controls.
• Upload material that infringes another person's intellectual property rights.

Incapsulate may suspend, restrict, or terminate accounts that violate these requirements.

16. Educational Disclaimer

Incapsulate is intended as an educational support platform.

The platform does not replace classroom instruction, professional educational services, curriculum requirements, examination preparation, or educational advice.

While reasonable efforts are made to provide accurate and up-to-date educational content, inCAPSulate does not warrant that the platform, its content, simulations, calculations or generated materials are complete, accurate, error-free or suitable for every educational purpose.

Users remain responsible for reviewing and verifying the accuracy, suitability and educational appropriateness of any content, assignments, assessments, calculations or other materials they create, generate, upload or rely upon through the platform.

inCAPSulate does not guarantee academic performance, examination results, admission outcomes, subject mastery, educational achievement or learning outcomes, and shall not be liable for any loss or damage arising from the use of, or reliance on, the platform or its content.

Teachers remain responsible for verifying the accuracy, suitability and educational appropriateness of assignments, assessments and any content they create or upload.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Incapsulate shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from use of the platform.

To the maximum extent permitted by applicable law, Incapsulate's total liability arising from any claim relating to the platform shall not exceed the subscription fees paid by the affected user during the preceding 12 months.

18. Privacy and POPIA

Personal information is collected, stored, and processed in accordance with the Incapsulate Privacy Policy and applicable South African privacy legislation, including the Protection of Personal Information Act, 2013 (POPIA).

19. Changes to Services and Pricing

Incapsulate may modify, improve, suspend, discontinue, replace, or remove any aspect of the platform at any time.

Such changes may include educational content, subscription features, classroom functionality, assignments, assessments, pricing, integrations or supported services.

Incapsulate may update these Terms and Conditions from time to time.

Where required by applicable law, users will be notified of material changes or asked to accept updated Terms before those changes take effect.

20. Termination

Incapsulate may suspend, restrict, or terminate access where:

• These Terms are violated.
• Fraudulent activity is suspected.
• Required payments are not made.
• Continued access presents operational, legal, or security risks.

Users may also request deletion of their account, subject to applicable legal obligations, educational record retention requirements and the Incapsulate Privacy Policy.

21. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any dispute arising from these Terms shall be subject to the jurisdiction of the South African courts.
